Micronas: 2.2 million shares subscribed for in the Rights Offering (031211)

Micronas announces today that in its Rights Offering to existing shareholders in certain jurisdictions outside the United States it received subscriptions for approximately 2.2 million registered shares. Up to 2.4 million registered shares will be available for allocations to new investors in the Global Offering. The bookbuilding period for the Global Offering will run until today, December 11, 2003.

During the subscription period for existing shareholders for the 1:6 Rights Offering (December 3, 2003 to December 10, 2003, 12:00 noon CET), approximately 2.2 million registered shares were subscribed for by existing shareholders of Micronas. This corresponds to a rights take-up of 48.3 % of the offered registered shares.

Following the Rights Offering, approximately 2.0 million registered shares are offered in the Global Offering, which will run until today, December 11, 2003. The Global Offering comprises a public offering in Switzerland and private placements to institutional investors in certain other jurisdictions. In addition, there is an over-allotment option of 455'000 additional shares. The offer price, which will be the same for the Rights Offering and the Global Offering, will be announced before the market opens on Friday, December 12, 2003.

The new shares will be fungible with the currently outstanding registered shares of Micronas and will be eligible for trading on the SWX Swiss Exchange as of Friday, December 12, 2003. Application has also been made for the new shares to be listed in the Prime Standard segment (TecDAX) in Frankfurt with trading expected to commence on or about December 15, 2003.

Credit Suisse First Boston is acting as lead manager and bookrunner of the Rights Offering and the Global Offering.
